OYO Parent Prism Plans to Nearly Halve IPO Fresh Issue to ₹3,350 Crore
Strong Cash Generation and an Improving Balance Sheet Reduce Fundraising Requirements
OYO’s parent company, Prism, is planning to nearly halve the fresh issue size of its proposed Initial Public Offering (IPO) from approximately ₹6,650 crore to ₹3,350 crore, according to a PTI report. The revised plan reflects the company’s improved financial position, stronger cash generation and reduced funding requirements.
Why Is Prism Reducing Its IPO Size?
According to people familiar with the matter cited in the report, the original IPO size was determined before the company’s more recent financial performance became evident. With cash generation remaining strong and its balance sheet improving, Prism now requires less capital than initially anticipated.
The company aims to raise the amount necessary to support its business while maintaining an efficient capital structure. The revised issue size indicates a shift towards aligning fundraising with current financial requirements rather than the larger amount originally planned.
IPO Proceeds to Support Debt Repayment
Prism had earlier planned to raise up to ₹6,650 crore through its IPO, of which approximately ₹5,000 crore was intended for debt repayment. Under the revised structure, most of the fresh issue proceeds are proposed to be used for the repayment or prepayment, in part or in full, of certain borrowings.
The company also plans to repay its remaining debt over the next two to three years through cash flows generated by its business. This approach could help Prism manage its liabilities while reducing the amount of new capital it needs to raise from public-market investors.
Moody’s Revises Prism’s Outlook to Positive
The development comes as Prism continues to focus on reducing its total outstanding debt and strengthening its financial position. The report also noted that Moody’s Ratings revised its outlook on Prism to “positive” from “stable”, while reaffirming the company’s B2 corporate family rating.
The revised outlook provides additional context for the company’s improving financial position, although it does not guarantee future financial performance or the success of its proposed IPO.
What Does the Revised IPO Plan Mean?
Reducing the fresh issue size could allow Prism to raise capital more closely aligned with its current needs. For prospective investors, the revised issue structure, planned use of proceeds, outstanding debt and future cash-flow performance will be important factors to assess when further IPO details become available.
The proposed issue size and other terms remain subject to the company’s final IPO documentation and applicable regulatory processes.
